Terms of Use

1. Acceptance of Terms
CarePM™ is a service provided by Custom Data Services, Inc. ("Company," "we," "us," or "our"). These Terms of Use describe the rules and requirements for accessing and using our software, services, and website (collectively, the "Services").
By accessing or using CarePM™, you agree to these Terms. If you do not agree, you must discontinue use of the Services.
2. Authorized Use
CarePM™ is intended for use by authorized healthcare providers, billing companies, healthcare organizations, and their approved workforce members for lawful healthcare operations, including billing, practice management, claims processing, patient communications, reporting, and related administrative services.
You may not use CarePM™ for any unlawful purpose or in any manner that violates applicable federal, state, or local laws.
3. User Accounts and Access
Users are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their accounts.
- Each user must use their own assigned account.
- Passwords and access credentials may not be shared.
- Access must be limited to authorized personnel only.
- Accounts for terminated or unauthorized users must be disabled promptly.
- Suspected unauthorized access must be reported immediately.
4. HIPAA Compliance
CarePM™ is designed to support healthcare operations that may involve Protected Health Information ("PHI"). When required by law, customers must execute a separate Business Associate Agreement ("BAA") with Custom Data Services, Inc.
Nothing in these Terms replaces or modifies the obligations contained in an executed BAA.
Customers remain responsible for their own HIPAA compliance, workforce training, access controls, internal policies, and permitted use of PHI.
5. Data Privacy and Security
We implement technical, administrative, and physical safeguards designed to protect customer data, including access controls, authentication, audit logging, secure backups, and other reasonable security measures.
While we take reasonable steps to protect information, no electronic system can be guaranteed to be completely secure. Users are responsible for securing their own devices, networks, passwords, and user access.
6. Ownership of Data
Customers retain ownership of the patient records, billing data, documents, and other information submitted into CarePM™.
Custom Data Services, Inc. does not sell customer data or Protected Health Information.
7. Permitted Use and Disclosure of Data
We may access, use, or disclose customer data only as necessary to:
- Provide, maintain, and improve the Services.
- Perform customer support and troubleshooting.
- Process claims, statements, payments, reports, and related healthcare operations.
- Comply with legal, regulatory, or contractual obligations.
- Protect the security and integrity of the Services.
We do not sell, rent, or share PHI with third parties for marketing purposes.
8. Third-Party Services
CarePM™ may integrate with third-party services such as clearinghouses, payer portals, EHR systems, payment processors, mailing vendors, text messaging providers, and other healthcare technology services.
We are not responsible for the availability, performance, security, or privacy practices of third-party services outside of our control.
9. Acceptable Use
Users may not:
- Attempt unauthorized access to CarePM™ or related systems.
- Share login credentials or access another user's account without authorization.
- Upload malware, viruses, or harmful code.
- Interfere with the operation, security, or availability of the Services.
- Reverse engineer, copy, or misuse the software.
- Use the Services in violation of any law, regulation, contract, or payer requirement.
10. Service Availability
We strive to maintain reliable access to CarePM™, but we do not guarantee uninterrupted service. Access may be affected by maintenance, software updates, internet outages, third-party failures, security events, or circumstances beyond our reasonable control.
11. Intellectual Property
CarePM™, including its software, design, workflows, reports, documentation, trademarks, logos, and related intellectual property, is owned by Custom Data Services, Inc.
These Terms do not transfer any ownership rights to users or customers.
12. Suspension or Termination
We may suspend or terminate access to CarePM™ for violations of these Terms, non-payment, suspected fraud, security concerns, unlawful activity, or misuse of the Services.
13. Disclaimer of Warranties
CarePM™ is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the fullest extent permitted by law, Custom Data Services, Inc. shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, business interruption, or loss of goodwill.
Our total liability shall not exceed the fees paid by the customer for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. Updates will be posted with the revised Effective Date. Continued use of CarePM™ after changes are posted constitutes acceptance of the updated Terms.
16. Governing Law
These Terms shall be governed by the laws of the State of Indiana. Any legal action related to these Terms shall be brought in the state or federal courts located in Indiana.
